CORPORATE RESTRUCTURING, JOINT VENTURES, AND TAXATION
Our vast knowledge and experience in corporate law and practice has availed us the opportunity of providing first-rate legal support to clients, especially in several complex joint venture transactions and delicate tax planning and have thus, built up competence in this field over the years.

We have on several occasions advised on the effect of local tax legislation on international commercial transactions and obtained regulatory consents enabling tax payment holidays. One of our Partners is a Fellow of the Chartered Institute of Taxation.

VENTURE CAPITAL AND PROJECT FINANCE
We have advised on project financing, lending, and venture capital transactions and regularly provide legal opinions on various regulations, policies, and procedures.  In particular, we have been involved in conducting due diligence, preparing/vetting agreements, perfecting agreements and liaising with relevant regulatory authorities.

BANKING, INSURANCE, AND SECURITIES

Our firm has wealth of experience and expertise in financial and transactional practice. We negotiate, draft, review, and advice on every kind of legal documentation and transaction.

We recently led the legal team that negotiated a multi-million dollar Construction and Tourism-Link Relay Financing Facility in favour of a Client in Owerri, Imo State Nigeria through Afrexim Bank and Nigerian Export-Import Bank (NEXIM). This is in addition to our ongoing participation with other firms in a multidisciplinary consortium of professionals in a detailed audit (legal and forensic) and ascertainment of the sum unlawfully withheld from 22 states of the Federation from the Federation Account. The exercise in total involves in the aggregate, the recovery of well over N2 Trillion. We have also acted for First Inland Bank Plc and First Bank Plc in various capacities.

We have had to carry out due diligence on behalf of clients and have also registered foreign charges on behalf of lenders of capital on an ongoing and ad-hoc basis and in the process, have greatly enhanced the quality of securities held.

The above is coupled with our vast experience in debt recovery for banks, carrying out of due diligence for banks, perfection of titles, releases, and mortgages for banks and other financial institutions amongst other.

COMPANY SECRETARIAL SERVICES
We also offer corporate management services and deliver professional solutions tailored to meet specific requirements of individual clients and organizations.  We provide services which include the incorporation of companies, charitable and other non-profit organizations, filing annual returns and charges, processing of immigration and naturalization procedures and routinely obtain government permits, licenses, and consents on behalf of our clients.

We provide company secretarial services to both public and private companies either on a relationship or ad-hoc basis.  Our services are available on a contractual basis to organizations, which do not require a full-fledged legal department but nevertheless require in-house legal services on a day-to-day basis or for short durations such as at board and/or general meetings. We have provided company secretarial services to organizations like Abuja Electricity Distribution Company (AEDC), Unity Bank Plc, Oando Plc, Asset Management Corporation of Nigeria (AMCON), Maitama Amusement Part, Abuja, amongst others.

CORPORATE GOVERNANCE
We routinely offer practical and legal advice on corporate governance to corporate clients.  We have been involved in creating for our clients corporate governance frameworks that facilitate voluntary compliance and balance the interest of all stakeholders such as employees, shareholders, creditors and beneficiaries of the company’s services.

We have also assisted in ensuring that proper risk management procedures and grievance procedures are laid down for achieving greater effectiveness of governance of companies with which we have worked.

LITIGATION AND DISPUTE RESOLUTION
Litigation is one of our competencies with cost-effective resolution and management of disputes involving our clients as our guiding philosophy.

Our firm has senior lawyers with experience in all the courts in Nigeria including the National Industrial Court, High Courts, Federal High Court, Election Tribunals, Court of Appeal, and the Supreme Court of Nigeria. The experience includes prosecution and defense of cases for the leading anti-corruption agencies in Nigeria including Independent Corrupt Practices Commission (ICPC) and EFCC up to the Supreme Court.

We also have vast experience in creative litigation involving both public and private sectors institutions such as Banks, Capital Market Operators, non-governmental organizations, government ministries, and agencies.

Alternative dispute resolution methods such as negotiation, mediation/conciliation as well as arbitration are fully explored and litigation is only a last resort where unavoidable. A Partner is a leading and active member of the Chartered Institute of Arbitrators, Nigerian and North America Branch (CIArb), Chartered Institute of Mediators & Conciliators (CIMC) while other Associates possess outstanding training on Alternative Dispute Resolution (ADR).

Our firm enjoys a high success rate in very intricate and complex commercial disputes generally, especially in relation to ownership/directorship disputes in companies and serious constitutional issues.  We also have a high success rate in securing pre-emptive commercial court orders designed to prevent dissipation of assets or destruction of res in deserving cases.

 INTELLECTUAL PROPERTY
This legal unit was set up in response to the growing demand for legal services to secure the rights of manufacturers in respect of goods available in the Nigerian markets, stimulated apparently by the country’s vast population.

We advise on exploration, development, licensing and registration of patents, copyrights designs and other forms of intellectual property.

FOREIGN INVESTMENTS
We have advised foreign clients in areas in which foreign investors can participate in; types of ventures foreign investors can fully own; whether a foreign investor requires to be incorporated in Nigeria locally; guarantees against expropriation and other forms of statutory guarantees that exist; whether foreign investors can repatriate profits and capital generally; whether foreign investors can acquire Real Estate; whether there is a Competition/Antitrust Law in Nigeria; Nigerian Labour and Immigration laws as well as consumer laws; choice of parties to determine the governing law in international contracts; the attitude of Nigerian Courts to a choice of forum clause, as well as an arbitration clause, etc.

REAL ESTATE AND CONSTRUCTION
As a discerning commercial law firm that recognizes the relationship between Land/Real Estate (considered to be one of the factors of production) and commercial activities, the firm has one of the most extensive legal units dedicated solely to Real Estate and Construction in Nigeria.

In the course of our legal advisory role in Real Estate and Construction over the years, the firm has gathered vast experience in rendering first hand legal services which borders on but not limited to the appropriate procedures obtainable in the acquisition of undeveloped and developed land by occupiers/owners, with strict adherence to legal intricacies inherent in relevant States and Federal Legislations on Land, Procedural rules laid down by relevant regulatory bodies and other basic legal steps inherent in Conveyance matters.

We also pride ourselves on negotiating and preparing loan syndication and other relevant documentation in respect of various Real Estate and Construction projects in Nigeria.

TELECOMMUNICATION
We have capacity and experience in policies and regulatory advisory services in the telecommunication industry. In addition, we process and obtain licenses from all the regulatory bodies in the industry such as National Broadcasting Commission (NBC), Nigerian Communications Commission (NCC), National Film & Video and Censor Board (NFVCB), Nigerian Film Corporation (NFC) etc.

The above is coupled with carrying out due diligence and documentation as well as obtaining requisite approvals and permits from the regulatory bodies in the industry.

ELECTION PETITION
We have Counsel with vast experience in election petition dating back to 2003, 2007 and 2011 Presidential and National Assembly Election petitions, to the 2011 Governorship and House of Assembly elections petitions in Kebbi , Zamfara, Sokoto, Abia, Kano and Oyo States as well as the 2012 Governorship and House of Assembly election petitions in Ondo State.

This is in addition to the experience in legislative drafting and policy formulation on legal framework governing election practice and procedure in Nigeria.

ENERGY LAW
Greenbridge Partners provides first-rate legal support to multinational oil and gas companies in Nigeria, as well as prospective foreign investors desirous of taking advantage of the vast potentials in Nigeria’s hydrocarbon resources.

We have seasoned practitioners with vast experience in Nigerian energy and power practice. We actively participated in the just concluded reforms in the power sector with the unbundling of Power Holding Company of Nigeria (PHCN) when we advised and carried out due diligence and documentation in a consortium of other professionals for the acquisition of six (6) distribution companies.

We have had the opportunity of reviewing agreements/instruments of oil and gas transactions, which are structured to ensure conformity with Nigerian statutes, Nigerian case laws and Nigerian laws generally within their operations in Nigeria.
